Il contratto autonomo di garanzia è soggetto alla decadenza semestrale dell'art. 1957 c.c.?
La risposta è no, in via di principio. Le Sezioni Unite della Cassazione (n. 3947/2010) hanno chiarito definitivamente che il contratto autonomo di garanzia non è una fideiussione e pertanto non è soggetto alla decadenza dell'art. 1957 c.c., salvo espressa pattuizione contraria. [1]
La ratio è che, a differenza della fideiussione (art. 1936 c.c.), il garante autonomo si obbliga a pagare "a prima richiesta", rinunciando ad opporre le eccezioni del rapporto sottostante. [2] L'art. 1957 c.c. — che impone al creditore di agire entro sei mesi contro il debitore — presuppone proprio quella accessorietà che nel garante autonomo è esclusa. [3]
Eccezione: la giurisprudenza ammette che le parti possano contrattualmente richiamare l'art. 1957 c.c. nel contratto autonomo. In tal caso, la decadenza opera (Cass. n. 16825/2016). [4] Occorre tuttavia che il richiamo sia specifico e non un generico rinvio alle "norme sulla fideiussione" (Cass. n. 22346/2023). [5]
